Palmette Terms of Service
Effective October 20, 2026
The agreement
These terms are a contract between you and Fluorine Technologies, Inc. (“Palmette”, “we”) for the use of the Palmette Mac application, our servers, and getpalmette.com (together, the “Service”). You accept them by creating an account or using the Service. If you are using Palmette for a firm, you confirm you are allowed to accept these terms for it, and “you” includes the firm.
Palmette is currently offered as a founding pilot. It is early software: features will change, some things will break, and we may pause or end the pilot. Our Privacy Policy (getpalmette.com/privacy) explains what we do with data and is part of these terms.
Your account
You need an account to use Palmette, and during the pilot an account has to be admitted by us. You must be at least 18, give us accurate details, and keep your sign-in to yourself. You are responsible for what happens under your account. One person per account; a firm that wants several seats asks us for them. We may suspend or close an account that breaks these terms, and you may close yours at any time by emailing us.
Using Palmette responsibly
Palmette transcribes calls, and the law on transcribing and recording calls varies by place. Many jurisdictions require the consent of everyone on the call. You are responsible for knowing the rules that apply to you and the people you talk to, and for getting any consent they require, before you click Start. Palmette helps by copying a disclosure to your clipboard each time you start and by showing on screen that it is running; it does not get consent for you.
You agree not to use Palmette to record or check anyone covertly, to use it on a call where you are not a participant, to try to extract our prompts, models or provider credentials, to resell or share access, to overload or probe our servers, or to use it for anything unlawful. We may stop a session or an account that does.
What a flag is
A flag is a comparison between something said on a call and something in the documents you provided, made by automated transcription and an AI model, in real time. Both can be wrong: speech can be misheard, a number can be read from the wrong page, and a judgement can be mistaken. Flags are prompts to look, not findings of fact, and they are not legal, financial, investment or diligence advice.
Every decision about a founder, a company or an investment is yours. You agree not to rely on a flag without checking the evidence it cites, and not to present Palmette’s output to anyone as an assessment of a person or a company. Palmette does not score founders and must not be used to.
Your content and ours
The decks, data rooms, notes and call content you bring to Palmette are yours, as are the notes it writes for you. You give us only the limited permission we need to process that content to run the Service for you, as the Privacy Policy describes, and nothing more. You confirm you are allowed to use the material you load, including material founders sent you.
The Palmette software, servers, design, name and mark are ours. We give you a personal, non-transferable licence to use the app while you have an account, and you may not copy, modify, reverse-engineer or redistribute it. Feedback you send us may be used to improve Palmette without obligation to you.
The pilot
The founding pilot is free unless we agree a price with you in writing. We may limit how much each account can use, change or remove features, and end the pilot with 14 days’ notice by email, after which the app may stop working. When we introduce paid plans we will tell pilot accounts the terms before anything is charged, and you can decline. Either side can end this agreement at any time: you by closing your account, we by notice to your email. Sections on content ownership, liability and disputes survive the end of the agreement.
Warranties, liability and indemnity
The Service is provided as is and as available, without warranties of any kind, express or implied, including that it will be accurate, uninterrupted or error-free, or fit for a particular purpose. Transcripts and flags may contain errors, and we do not warrant any of them.
To the fullest extent the law allows, Palmette is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost deals, lost data or reputational harm, arising from the Service or from any decision you make using it. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100. Some places do not allow these limits, in which case they apply as far as that place allows.
You agree to indemnify Palmette against claims and costs arising from your breach of these terms, from your use of Palmette without the consent the law requires, or from content you load into it.
Law, disputes, changes and contact
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and any dispute goes to the state or federal courts in New York County, New York, which both sides agree to. Before suing, each side agrees to tell the other in writing and spend 30 days trying to resolve it.
We may change these terms. If a change matters, we will email account holders at least 14 days before it takes effect; continuing to use the Service after that date is acceptance. If any part of these terms is unenforceable, the rest stands. These terms and the Privacy Policy are the whole agreement between us about the Service.
